("Choitek") and is accessed by you under the Terms of Service described below ("Terms"). IT IS IMPORTANT THAT YOU READ ALL THE TERMS AND CONDITIONS CAREFULLY. By accessing the site, viewing any content or using any services available on the site (as each is defined below), you are agreeing to be bound by these terms, conditions, rules, policies, guidelines and practices which governs our relationship with you in relation to the site. If you do not accept these terms and conditions for any reason or no reason whatsoever, you must not access or use the Web site. Choitek may revise this Agreement at its sole discretion at any time by updating this posting. Use of the Web site after such changes are posted will signify your agreement to these revised terms, and you should visit this page periodically to review this Agreement.
2. Disclaimer of Warranties.
The Site is provided as is, and by accessing and using the Site, you acknowledge and agree that access and use of the Site is entirely at your own risk. Choitek makes absolutely no representations or warranties regarding the Site and its contents, including warranties of merchantability, fitness for a particular purpose, or non-infringement of intellectual property. Neither Choitek nor any of its affiliates warrant the accuracy or completeness of the information, materials or services provided on or through this web site, and Choitek does not guarantee that the Site will operate without interruptions or errors and that any such interruptions or errors will be corrected. Choitek also does not guarantee that the website will be free from viruses or other harmful components. Due to the nature of sending and receiving internet communications, Choitek does not and cannot make any representation or warranty that use of the Site will be secure or not intercepted.
3. Third Party Linking.
The Site may contain links to third party websites that are not owned, operated or controlled by Choitek or its respective affiliates. All such links are provided solely as a convenience to you or as User Content submitted by other users and are not a endorsement by Choitek or its affiliates. Choitek is not responsible for the content of any third-party web site, nor does it make any representation or warranty of any kind regarding content, materials or other information from any third-party web site. All materials displayed or otherwise accessible through the Site, including, without limitation, text, images, photographs, illustrations, audio clips, video clips, computer software and code (collectively, the Content) are protected under copyright laws of the United States and foreign copyright laws or other laws, and are owned by Choitek, its licensors or the party accredited as the provider of the Content. In addition, the Web site is protected under copyright law as a collective work pursuant to United States laws and other foreign laws. You shall abide by all additional copyright notices, information and restrictions on or contained in any of the Content accessed through the Web site.
5. Registration.
You may be asked to register with the Web site in order to use certain features of the Site. You agree to provide true, accurate, current and complete information about yourself as prompted by any registration form and maintain and promptly update the information you provide to keep it true, accurate, current and complete. If Choitek suspects at its sole discretion that such information is untrue, inaccurate, not current or incomplete, Choitek may suspend or terminate your access to and use of the Site. Maintaining the security and confidentiality of your password for your user account is your responsibility. Choitek's use of any personally identifying information you provide as part of the registration process is governed by the terms of Choitek's Privacy Policy. If there are conflicting terms between the Privacy Policy and the Terms of Service, the terms from the Terms of Service will take precedence over the conflicting terms in the Privacy Policy.
6. Products and Content.
The Site may allow you to purchase many different types of products and services provided by Choitek (Merchandise). You acknowledge and agree that the price and availability of the Merchandise is subject to change without notice, and that the inclusion of any product or service on the Site at a particular time does not imply or warrant that these products or services will be available at any time. When ordering Merchandise on the Site, you must provide complete and accurate personal information consisting of your name, address, telephone number, e-mail address, credit card information and shipping address, in addition to any other information requested. Your receipt of an order confirmation form, whether online or by paper, does not signify Choitek's acceptance of your order, and it does not constitute confirmation of Choitek's offer to sell. Your submission of an order to us shall be deemed to constitute an offer to purchase, which shall remain open for a reasonable time, and will be deemed to be accepted by us only upon shipment of the ordered Merchandise. Choitek, at its sole discretion, reserves the right at any time after receipt of your order, to decline your order for any reason or no reason whatsoever, including reasons of unavailability, unshippability, pricing errors, or other reasons of unsuppliability for the order. You agree and understand that it is your responsibility to obey all applicable local, state, federal and international laws regarding the possession, use and sale of any item purchased from the Site. The sale of the Merchandise is void where prohibited by law.
7. Trademarks.
Choitek is a registered trademark of Choitek. Other intellectual property, including, without limitation, names, titles, words, phrases, designs, logos, and graphics displayed on the Site, may constitute registered or unregistered trademarks of Choitek or third parties. Although Choitek may use certain trademarks of third parties under license or permission, the display of such third-party trademarks on the Site does not imply any relationship or license between Choitek and the owner of said trademark, and it does not imply that Choitek endorses the businesses, wares, or services of the third party trademark's owner. You may not use any trademark or design of Choitek or any third party without the express written permission of Choitek or the respective owner of any third-party trademark.
8. Copyrights and Licenses.
Any and all Software and Hardware embedded in or located on or at the Site, including, without limitation, all computer code or product design of all types, including all files and images contained in or generated by such software, is protected by copyright laws and may also be protected with other rights. All such Software and Hardware is owned solely by Choitek, its licensors or parties accredited with ownership of such Software and Hardware. You are hereby granted the right to access and use the Software and Hardware embedded and integrated into the Site, subject to the terms and conditions of this Agreement, and also any additional terms and conditions which may be imposed on your access and use of such Software or Hardware. By accessing or using such Software and Hardware, unless otherwise provided, you are hereby granted a personal, non-transferable, non-exclusive license to access and use the Software and Hardware for your personal, research or educational use. Commercial use requires written permission from Choitek. You may only reproduce the Software to make reasonable backup copies as allowed by law. You may not use, reproduce, modify, adapt, translate, upload, download, sell, rent, lease, license, transfer or transmit the Software or Hardware in whole or in part, except to the extent expressly permitted in this Agreement, unless otherwise provided. You may not alter, remove or cover any trademarks or proprietary notices included in the Software or Hardware.
9. User Submitted Content.
PLEASE READ THIS SECTION CAREFULLY BEFORE POSTING, UPLOADING, OR OTHERWISE SUBMITTING ANY CONTENT TO THE SITE. Any material, including, without limitation, information, suggestions, ideas, concepts, techniques, questions, comments, software, file documents or any other communication you submit to the Site in any manner at any time (User Content) is non-confidential and non-proprietary. By submitting User Content to the Site, you grant Choitek a worldwide, non-exclusive license to use the your submitted content, and you represent and warrant to Choitek that your submitted content is owned or duly licensed by you, and that Choitek is free to publish, distribute and use the User Content without obtaining permission or license from you or any other third party. Choitek and its respective affiliates may, but is not obligated to, use any User Submitted Content for any purpose whatsoever, including, without limitation, reproduction, transmission, disclosure, publication, broadcasting, development, manufacturing and/or marketing in any manner whatsoever for any commercial or non-commercial purpose.
As a condition of use, you agree not to use the Services for any purpose that is unlawful or prohibited by the Terms. Examples include, without limitation: (i) Abusing, harassing, threatening, or intimidating any person or persons; (ii) Content that is in any way obscene, libelous, defamatory, offensive, profane, pornographic, infringing on copyrights, encouraging criminal conduct, encouraging the violation of any law, or encouraging posting of such Content; (iii) Communication or solicitation in any form designed or intended to obtain the password, account, or private information from any Choitek user; (iv) Creating any unwanted spam to any person or any URL; (v) Imposing an unreasonable or disproportionately large load on Site infrastructure, as determined by the sole discretion of Choitek, including, without limitation, the interference of proper operation of the Site or activities conducted on the Site by automating data collection on the Site; (vi) The automated creation of any Content including, without limitation, comments, reviews, or votes. (vii) The creation of any Content in exchange for receiving money (viii) Egregious advertising or soliciting to buy or sell any products or services from an entity other than Choitek.
You agree that you, and not Choitek, are solely responsible for all Content you post or otherwise submit to the Site. Choitek does not control user submitted Content and, as such, does not and cannot guarantee the accuracy, integrity or quality of such Content. You understand that by using the Site you may be exposed to Content that is offensive, objectionable, or otherwise disagreeable. Choitek may, but is not obligated to, use, monitor, review, or respond to any User Submitted Content. Choitek reserves the right, but has no obligation to, monitor disputes between users and take any necessary action to remediate any violation to the Terms. Remediations may include, without limitation, the immediate removal of the related materials from the Site and also the immediate suspension of all associated user accounts. Choitek will fully cooperate with any official law enforcement authorities who provide a court order or subpoena requesting or directing Choitek to disclose information including, without limitation, personally identifiable information.
10. Shipping.
When an order is placed, the order will be shipped to an address as designated by the purchaser as long as such order and shipping address is compliant with the shipping restrictions contained within (i) the Site, (ii) the state laws and federal laws of the United States (iii) and any other applicable laws if ordering inernationally. All purchases from the Site are made pursuant to a shipment contract. As a result, risk of loss and title for items purchased from the Site pass on to you upon delivery of the items to your specified shipping address, unless otherwise specified in writing. You agree and understand that you are responsible for contacting Choitek to initiate any claim for damaged or lost shipments. You are also responsible for paying any import duties and taxes on your order. Note that Choitek does not do business with entities in, or who intend to re-export any product to, a country embargoed by the government of the United States. Currently, we do not and cannot ship to Cuba, Iran, North Korea, Sudan, or Syria. You agree and understand that you are responsible for ensuring no product purchased from Choitek is transported through or to one of those countries. 11. Limitations of Liability.
Subject to applicable law, in no event shall Choitek, its respective officers, directors, employees, shareholders, affiliates, agents, successors or assigns, be liable for damages of any kind, including, without limitation, damages to your computer, telecommunication equipment, or other property directly, indirectly, incidentally, or consequentially caused by, without limitation, your access, use, or inability to use, the Site or any links contained within or linking to the Site, including, without limitation, damages from viruses or malware, lost profits, lost savings, lost data or business interruption. In no event shall Choitek, its respective officers, directors, employees, shareholders, affiliates, agents, successors or assigns, be liable for any damages under this Agreement, whether arising in contract (including fundamental breach), tort (including negligence) or otherwise. In no event shall Choitek, its respective officers, directors, employees, shareholders, affiliates, agents, successors or assigns, be liable for any loss or damage arising from the failure of Choitek or your failure to protect your password or other account information. In no event shall Choitek, its respective officers, directors, employees, shareholders, affiliates, agents, successors or assigns, be liable for the acts, omissions, or conduct of any third-party, including, without limitation, third party users, advertisers, and sponsors. If you decide to access or use any third party content, including without limitation, websites, materials, software, hardware, products, or services, you do so at your own risk. The foregoing limitations of liability shall apply even if Choitek knew or ought to have known of the possibility of such damages. In the event of any problem with the Site, you agree and understand that your sole remedy is to cease using the Site. In the event of any problem with the products or services that you have purchased on or through the Site, you agree that your sole remedy, if any, is from the manufacturer of such products or supplier of such services, in accordance with such manufacturer's or supplier's warranty, or to seek a return and refund for such product or services in accordance with the returns and refunds policies posted on the Site.
12. Governing Law and Jurisdiction.
The Site (excluding any and all linked third party websites and content) is controlled by Choitek from its offices within the state of Pennsylvania of the United States. By accessing or using the Site or any portion thereof, you understand and agree that all matters regarding access or use of, the Site and any of its contents, including without limitation, websites, materials, software, hardware, products, or services provided by Choitek, shall be governed by the laws of the state of Pennsylvania and the laws of United States. You agree and hereby submit to the non-exclusive jurisdiction of the Supreme Court of the United States and the courts of the state of Pennsylvania with respect to such matters. You also agree that the provisions of the United Nations Convention on Contracts for the International Sale of Goods shall not apply.
13. Termination.
You or Choitek, may at any time, with or without notice, for any reason or no reason whatsoever, terminate your access or use of the Site or any portion thereof. You are personally liable for any orders placed or charges incurred through your account prior to termination. Choitek reserves the right to change, suspend, or discontinue any or all aspects of the Site at any time without notice for any reason or no reason whatsoever.
14. Severability.
If any term or provision of this Agreement is found by a court of competent jurisdiction to be invalid, illegal or otherwise unenforceable, the same shall not affect the other terms or provisions hereof or the whole of this Agreement, but such term or provision shall be deemed modified to the extent necessary in the court's opinion to render such term or provision enforceable, and the rights and obligations of the parties shall be construed and enforced accordingly, preserving to the fullest permissible extent the intent and agreements of the parties herein set forth.

In the event of any problem with the products or services that you have purchased on or through the Site, you agree that your sole remedy, if any, is from the manufacturer of such products or supplier of such services, in accordance with such manufacturer's or supplier's warranty, or to seek a return and refund for such product or services in accordance with the returns and refunds policies posted on the Site.
12. Governing Law and Jurisdiction.

You are personally liable for any orders placed or charges incurred through your account prior to termination. Choitek reserves the right to change, suspend, or discontinue any or all aspects of the Site at any time without notice for any reason or no reason whatsoever.
14. Severability.
If any term or provision of this Agreement is found by a court of competent jurisdiction to be invalid, illegal or otherwise unenforceable, the same shall not affect the other terms or provisions hereof or the whole of this Agreement, but such term or provision shall be deemed modified to the extent necessary in the court's opinion to render such term or provision enforceable, and the rights and obligations of the parties shall be construed and enforced accordingly, preserving to the fullest permissible extent the intent and agreements of the parties herein set forth.
